Services or Training purchased as part of a special program or separate Services Agreement may have additional or superseding terms and conditions.
The following cancellation and rescheduling policy shall apply to services (“Services”) and training classes (“Training”) that Praxis Aerospace (“Praxis”) provides to a customer (the “Customer”):
- Services Cancellation
- A. Praxis acknowledges acceptance of a Services Purchase Order or Work Order (“Services PO”) by submitting an invoice to the Customer for the initial 50% deposit payment (“Deposit”).
- B. If the Customer cancels an accepted Services PO, for any reason and regardless of any advance written notice provided to Praxis, the Customer will incur a 30% cancellation fee if cancellation occurs before the payment of the Deposit.
- C. If the Customer cancels a Services PO, for any reason and regardless of any advance written notice provided to Praxis, the Customer will incur a 50% cancellation fee if cancellation occurs after the payment of the Deposit.
- 1.)Additionally, if Praxis incurs costs or expenses, including travel expenses or labor expenses, in excess of the Deposit amount as of the date of cancellation in connection with the cancelled Services, the Customer is responsible for payment of the additional incurred costs.
- Services Rescheduling
- A. The Customer may request to reschedule the Services Start Date for an accepted Services PO, for any reason and regardless of any advance written notice provided to Praxis, without a reschedule fee provided the request to reschedule occurs before payment of the Deposit. Failure to pay the Deposit within 5 days of the due date is a request to reschedule the Services Start Date.
- 1. )The Customer must provide a revised Services Start Date before the scheduled Services Start Date. If the customer does not provide a revised Services Start Date within the timeframe or fails to pay the Deposit within 5 days of the due date, Praxis will consider the Services PO canceled and the Customer will incur a 30% cancellation fee.
- 2.) Upon the third request to reschedule, Praxis will consider the Services PO canceled and the Customer will incur a 30% cancellation fee.
- B. If the Customer requests to reschedule the Services Start Date, Deliverable Schedule, or Services, for any reason and regardless of any advance written notice provided to Praxis, after payment of the Deposit:
- 1.) The Customer must provide a revised Services timeline within 7 days of the request to reschedule. If the customer does not provide a revised Services timeline within the timeframe, Praxis will consider the Services PO canceled and the Customer will incur a 50% cancellation fee.
- 2.) Upon the third rescheduling, Praxis will consider the Services PO canceled and the Customer will incur a 50% cancellation fee.
- 3). The Customer is responsible for reimbursement of any costs or expenses, including non-refundable travel expenses or labor expenses, in connection with the rescheduling of Services. Praxis reserves the right to stop providing Service and/or stop all activity related to the Services and Deliverables until receipt of payment of the additional expenses.
- A. The Customer may request to reschedule the Services Start Date for an accepted Services PO, for any reason and regardless of any advance written notice provided to Praxis, without a reschedule fee provided the request to reschedule occurs before payment of the Deposit. Failure to pay the Deposit within 5 days of the due date is a request to reschedule the Services Start Date.
- Training Cancellation
- A. Praxis acknowledges acceptance of a Training Purchase Order or Work Order (“Training PO”) by submitting an invoice to the Customer for the initial 50% deposit payment (“Deposit”).
- B. If the Customer cancels an accepted Training PO, for any reason and regardless of any advance written notice provided to Praxis, the Customer will incur a 30% cancellation fee when cancellation occurs before the payment of the Deposit.
- C. If the Customer cancels a Training PO, for any reason and regardless of any advance written notice provided to Praxis, the Customer will incur a cancellation fee as outlined in this section if cancellation occurs after the payment of the Deposit:
- 1.) The Customer will incur a 50% cancellation fee if cancellation occurs 15 or more calendar days before the Training Start Date.
- 2.) The Customer will incur a 50% cancellation fee if cancellation occurs 14 – 8 calendar days before the Training Start Date.
- 3.)The Customer will incur a 100% cancellation fee if cancellation occurs within 7 calendar days of the Training Start Date. If the Customer does not attend the Training as scheduled, the absence is considered cancellation of the Training PO.
- Additionally, if Praxis incurs costs or expenses, including travel expenses or labor expenses, in excess of the Deposit as of the date of cancellation in connection with the cancelled Training, the Customer will be responsible for the additional fees.
- Training Rescheduling
- A. The Customer may request to reschedule the Training Start Date for an accepted Training PO, for any reason and regardless of any advance written notice provided to Praxis, without a reschedule fee provided the request to reschedule occurs before payment of the Deposit. Failure to pay the Deposit within 5 days of the due date is a request to reschedule the Training Start Date.
- 1. ) The Customer must provide a revised Training Start Date before the scheduled Training Start Date. If the customer does not provide a revised Training Start Date within the timeframe or fails to pay the Deposit within 5 days of the due date, Praxis will consider the Training PO canceled and the Customer will incur a cancellation fee as outlined in Section III Training Cancellation.
- 2.) Upon the third rescheduling, Praxis will consider the Training PO canceled and the Customer will incur a cancellation fee as outlined in Section III Training Cancellation.
- B. If the Customer requests to reschedule the Training Start Date, for any reason and regardless of any advance written notice provided to Praxis, the Customer will incur a rescheduling fee as outlined below if the request to reschedule occurs after the payment Deposit.
- 1.) Upon the first request to reschedule, the Customer will incur a 25% rescheduling fee.
- 2.) Upon the second request to reschedule, the Customer will incur an additional 25% rescheduling fee.
- 3.)Upon the third request to reschedule, Praxis will consider the Training PO canceled and the Customer will incur an additional 50% cancellation fee.
- 4.) In addition to the rescheduling fees, the Customer is responsible for reimbursement of any costs or expenses, including non-refundable travel expenses or labor expenses, in connection with the rescheduling of Training. Praxis reserves the right to stop providing Training and/or stop all activity related to providing Training until receipt of payment of the excess expenses.
- 5.) The Customer must provide a revised Training Start Date before the scheduled Training Start Date. If the customer does not provide a revised Training Start Date within the timeframe, Praxis will consider the Training PO canceled and the Customer will incur a 50% cancellation fee in addition to the rescheduling fee.
- 6.) Praxis will waive rescheduling fees upon completion of the Training as outlined in the Training PO.
- A. The Customer may request to reschedule the Training Start Date for an accepted Training PO, for any reason and regardless of any advance written notice provided to Praxis, without a reschedule fee provided the request to reschedule occurs before payment of the Deposit. Failure to pay the Deposit within 5 days of the due date is a request to reschedule the Training Start Date.
- Cancellation or Rescheduling by Praxis
- A. Praxis reserves the right to reschedule or cancel the date, time and location of Services and/or Training at any time, including replacing personnel who may be scheduled to deliver the Services and/or Training with other personnel who are qualified to deliver the Services and/or Training.
- B. If Praxis cancels Services and/or Training due to circumstances beyond its reasonable control (e.g. weather or natural disaster), the Customer is entitled to a credit for such Services and/or Training, which must be used within three (3) months of the date of the original Services and/or Training.
- C. If Praxis cancels Services and/or Training for any other reason, the Customer is entitled to a full refund for such Services and/or Training. Praxis shall not be responsible for any other loss incurred by the Customer as a result of a cancellation or reschedule.
